4. Miscellaneous
This Agreement is entered into in the State of Ohio and shall be governed by and construed in accordance with the laws of the State of Ohio ,exclusive of its choice of law roles. Each party to this Agreement submits to the exclu-sive jurisdiction of the state and federal courts sitting in the County of Cuyahoga in the State of Ohio, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agree-ment, the prevailing party will be entitled to costs and attorneys' fees. In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provi-sions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and ef-fect.
This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly canceled. SWITCHCARS.COM may modify the terms of this Agreement by posting notice of such modifica-tion on a page of the Site entitled "Legal Notices" or "Legal Information" (or similar ti-tle) before the modification takes effect.
5. Fees
There is a base fee of 1% of vehicle’s value for buying services rendered (except consulting), with a minimum fee of $200. Exceptions and surcharges may apply to vehicles deemed in the exotic or classic category. To qualify for this category, the vehicle must be deemed of exceptional rarity, have a value over $100,000, or be produced before the year 1990. Additional qualifications may apply, and will be disclosed fully in writing before services are rendered.
If SwitchCars.com is remarketing a vehicle, the normal 1% of vehicle’s value will be charged, with a minimum of $100. Any listing expenses incurred will be billed separately and are not included in the 1%. Fees will only be charged if vehicle is sold. Pictures of vehicles, pickup and drop off under 50 miles, and detailing of vehicles to be sold will not be billed to the customer, as they are included in the 1% fee.
A deposit of $100, or 10% of estimate of fees to be rendered, whichever is greater, will be due before any services are rendered. Deposits are non-refundable, unless for some reason SwitchCars.com cannot fulfill the requested services.
SwitchCars.com will charge a flat fee of $200 for consulting services, which is due up front. If buyer additionally chooses to buy a vehicle through SwitchCars.com, the consulting fee will be waived upon time of purchase, and will be credited toward purchase invoice.
The balance of all fees is due at the time of vehicle sale, not at time of delivery. If fees are not paid within 14 days of vehicle sale, SwitchCars.com will charge the balance of fees due to customer's credit card on file. If no credit card is available, after 30 days the balance will be remitted to collections.
